In the event of a conflict between a specific service agreement and these Terms of Service, the specific service agreement shall prevail with respect to that particular engagement.

We shall not be liable for any damages resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, power failures, or governmental actions. Our obligations under this agreement are subject to force majeure events that prevent or delay performance.

Nothing in these terms shall exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law. The limitations and exclusions set forth in this section are an essential basis of the bargain between you and The Yoga Cop Inc., and we would not provide our services without such limitations.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Yoga Cop Inc., its officers, directors, employees, agents, affiliates, subsidiaries, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable legal fees, arising out of or relating to your violation of these Terms of Service, your use of our website or services, or your infringement of any third-party right.

This indemnification obligation includes claims arising from your submission of content to our website, your violation of any applicable law or regulation, your infringement of intellectual property rights, and any unauthorized use of your account by you or any third party. Termination of these terms does not relieve you of any obligations that accrued prior to termination, including payment obligations for services rendered.

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these terms. We may also terminate or suspend your access if we determine, in our sole discretion, that your continued use may harm our interests, our reputation, or the interests of other users.

Upon termination, your right to use our website and services will immediately cease. All provisions of these Terms of Service that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. We will handle any personal information remaining in our possession after termination in accordance with our Privacy Policy.

If you have an active service agreement or project engagement with us at the time of termination of these general terms, the termination shall not affect the specific service agreement, which shall continue to govern that engagement unless it is separately terminated according to its own provisions. Your rights and obligations under completed service agreements survive the termination of these general terms.

13. Governing Law and Dispute Resolution

These Terms of Service and any dispute arising out of or relating to them, including disputes regarding their validity, interpretation, performance, or breach, shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Before resorting to formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at guide@yogacop.autos and describing the nature of your concern. We will make a good-faith effort to resolve the matter through direct communication within thirty days of receiving your notice. If the dispute cannot be resolved informally, either party may pursue legal remedies as provided below.

Any legal action, suit, or proceeding arising out of or relating to these Terms of Service shall be instituted exclusively in the courts of competent jurisdiction located in Toronto, Ontario, Canada. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue based on forum non conveniens or any other grounds. You agree that any claim or cause of action must be brought within one year after the claim arises, or it shall be permanently barred.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights, confidential information, or other interests that would be irreparably harmed by delay. You agree that any violation of our intellectual property rights would cause irreparable harm for which monetary damages would be an inadequate remedy.

We may assign or transfer our rights and obligations under these terms at any time without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets. These terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

The relationship between you and The Yoga Cop Inc. is that of independent contractors, and nothing in these terms shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties. Neither party has the authority to bind the other or incur obligations on the others behalf without prior written consent.
